WHAT YOU GET IN THE CORPORATE DOCUMENTS REVIEW PLAN

A complete review of the listed corporate documents for legal sufficiency, and whether they are appropriate and well-drafted for your business. I’ll give my opinion on what needs to be changed or whether you need to create a new, better one. You’ll also get my opinion on whether we need to create necessary but missing documents We will then have a brief discussion on how you should use the documents in your management.

WHAT’S INCLUDED

  • Current Bylaws or Operating Agreement
  • Corporate resolutions
  • Articles of Incorporation / Articles of Organization
  • Shareholder agreements (max. 2)
  • One exemplar customer contract
  • One exemplar subcontract (if applicable)
  • One executive or key employee agreement

WHAT’S NOT INCLUDED

  • Review of any document not listed
  • Review of any document over 30 pages long (contact me and we’ll discuss why you think such a long document is appropriate, and we can adjust the consultation fee if necessary)
  • Drafting of revisions to any of these documents
  • Creating new, better documents to replace ones that in my opinion are not sufficient for your business
  • Creating any missing but necessary documents
  • Specific questions about implementing any of these documents (e.g., “How can I get rid of this key employee under this agreement without having to pay the separation payment” or “My business partner and I are deadlocked on spending $___ on new equipment, how do we get past this”.)

HOW WE DO THE CORPORATE DOCUMENTS REVIEW PLAN

First I will ask you to email me a description of your business so that I understand the context in which you use your corporate documents. I will create a secure DropBox folder for you to upload your files to. When you’ve done so, I will review the documents, usually within a week. I will then prepare a brief report on each document with my opinion on the documents, and explaining what I think are relevant terms to help you manage your business more effectively. We’ll then schedule a phone call or meet for coffee to discuss my review of the documents and answer any questions you may have about them, as noted above.
